1. Legal Agreement

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “Client”, or “You”) and Compilex Technologies, governing your access and usage of our websites, platforms, software, APIs, and services (“Services”).

2. Acceptance

3. Services Overview

Compilex provides proprietary software products, enterprise SaaS solutions, IT consulting, and technical services. Use of our Services may require a valid license, master service agreement (MSA), or service order (SOW).

4. Intellectual Property

All content, trademarks, source code, documentation, designs, and materials are the intellectual property of Compilex Technologies or its licensors. You may not reproduce, modify, distribute, reverse engineer, or exploit any part of the Services without our explicit authorization.

5. User Obligations

• Use Services only for lawful purposes;
• Not misuse or interfere with the integrity or performance of the Services;
• Maintain the confidentiality of account credentials and authentication tokens;
• Immediately report security breaches or unauthorized access.

6. Payment and Billing (if applicable)

• Payments must be made in accordance with agreed commercial terms;

7. Limitation of Liability

To the fullest extent permitted by applicable law, Compilex shall not be liable for:

• Indirect, incidental, special, punitive, or consequential damages;
• Business interruption, lost profits, or data loss;
• Claims arising from third-party services or integrations.

Maximum liability under these Terms shall not exceed the total fees paid by the Client during the preceding twelve (12) months.

8. Disclaimers

Compilex disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement. We do not warrant that Services will be error-free, uninterrupted, or fully secure.

9. Termination

• Terminate access for breach of Terms or applicable law;
• Discontinue Services with reasonable notice where required;
• Delete accounts or content after prolonged inactivity.

10. Compliance and Export Controls

Users shall not use or export any Services in violation of:

• U.S. Export Administration Regulations (EAR);
• EU dual-use regulations;
• Sanctions laws or embargoes.

11. Governing Law and Jurisdiction
